An Extraordinary General Meeting of Members will be held at the 200-280 Huntingdale Road, Mount Waverley, Victoria on Wednesday, 21 August 2024 at 6.30pm.
BUSINESS
1. Modification to the Constitution – establishment of the Riversdale Future Fund
To consider and, if deemed fit, pass the following resolutions as special resolutions:
“That the Club modifies the existing constitution of the Club by inserting the text that is double underlined as shown in the amendments to the constitution attached to Schedule 1 of this notice, and the Secretary be authorised to take such steps as are necessary to:
(a) to arrange for the production of a consolidated version of the Constitution, including in respect of definitions inserting the new definitions in alphabetical order and renumbering the clause numbering for existing definitions, as modified; and
(b) lodge the modified Constitution with the Australian Securities and Investments Commission.”
The explanatory paper for members outlining the proposed constitutional changes relating to the special resolution is set out in the Explanatory Paper attached to Schedule 2 of this notice.
The vote
A special resolution must be passed by at least 75% of the votes cast by members entitled to vote on the resolution, voting in person or by proxy.
VOTING BY PROXY
2. In accordance with clause 13.1 of the Constitution of the Club:
1. Each Eligible Member is entitled to appoint another Eligible Member as a proxy.
2. The notice of proxy must be in the form available from the office and on the Club website (here) and must be signed by the Member.
3. A notice of proxy must be given to the Secretary no later than 6:30pm on Tuesday, 20 August 2024 and is to be addressed as follows:

4. A notice of proxy sent electronically, which is received by the Secretary no later than 6:30pm on Tuesday, 20 August 2024 emailed to admin@riversdalegolf.com.au, is acceptable as a valid proxy.
